Co Productions & Services

Barbican’s producers have robust backgrounds in structuring official international co-productions and production service agreements, and making them work! Having been the lead producers in a number of co-produced feature films since 2003 – made in joint venture with production companies from Canada, Hungary, Germany, the USA, Slovakia, Malta and Turkey, among other nations – our producers are very well versed in this area of the business.

Investment into Barbican
Barbican’s senior producers have a long history of working with private investors, securing high risk equity for film production, and managing revenue streams at the back-end after delivery of completed films into the cycles of worldwide sales and distribution.

The company is privately funded and is now able to offer prospective investors a variety of HMRC regulated tax relief incentives provided by the UK government, upon the purchasing of shares in Barbican Entertainment Limited.

We are strongly committed to working side-by-side with new share-holders, on an individual basis as best suits the investor – or as the investor best fits the company – knowing from experience that these are vital relationships to the operation of our business model, and out of which comes far more than fiscal investment.

Investment into Barbican is managed to produce slates of productions and meet all related expenditure to the growth of the company, rather than direct investments into single film productions, and as such is investment into the company.

Tax relief incentivised investment

Barbican Entertainment Limited is an early-stage business that draws on the industry experience of its three senior producers Reg, Katrena and Andrew, who came together to combine their respective expertise in order to grow the company into an independent powerhouse.

The company has Advanced Assurance for the Seed Enterprise Investment Scheme (SEIS) from HMRC and as such is permitted to offer its investors a variety of tax reliefs.

Due to the nature of new businesses being inherently riskier propositions for investment – as opposed to longer-established entities – the SEIS offers investors a number of tax advantages.

The SEIS is a financial product that provides investors with various tax reliefs and beneficial treatment in order to reduce the effects of any potential perils associated with investing in smaller, unlisted or earlier-stage businesses. The scheme is for investment into companies and investments are considered patient capital, though at most risk at the point of share purchase.

The initiative is designed to boost economic growth and foster originality by encouraging private investors to buy stakes – ordinary full risk shares – in new companies, so as to assist smaller and younger businesses in securing the necessary capital to expand.

Investors are permitted to invest up to £200,000 per tax-year and are eligible for generous tax benefits including 50% Income Tax Relief and 50% Capital Gains Tax Reinvestment Relief.

SEIS investments are particularly attractive to experienced investors and/or those with large Income Tax or Capital Gains Tax liabilities who are looking for growth opportunities – and investors who participate in the scheme can take advantage of numerous incentives;

Income Tax relief is available up to 50% against a maximum £200,000 annual investment. The relief may be offset against liabilities in the current or previous tax years. Shares must be kept for at least three years to remain eligible for this relief.

Capital Gains Tax exemption is available once the investor has held their Shares for a period of three-years and has claimed Income Tax relief. Thereafter, profits derived from the sale of their Shares are exempt from CGT.

Capital Gains Reduction is available to investors who, in order to support an SEIS-qualified venture, liquidate other investments. The capital gains on the original investment are eligible for a 50% tax reduction.

Loss relief is available in the event of SEIS shares falling in value or the company folding, and is offset against Income Tax liabilities in either the current or previous year, with Investors eligible for up to 50% relief on their investment.

Reinvestment Relief is available to investors on gains from other assets which are not linked to SEIS. Investors can defer their Capital Gains Tax obligation relating to such assets, indefinitely, by reinvesting the profit into eligible SEIS shares.

Capital Gains Tax deferral is available until the investor sells the SEIS shares, their investment no longer qualifies for SEIS treatment, or if they move outside the UK within three years of the original reinvestment date.

Inheritance Tax Relief is available and as such Investors can leave shares to their beneficiaries or heirs tax-free, provided they have held them for at least two years.

Overall, SEIS aims to make investing in smaller and higher risk companies more attractive and financially viable for private investors. Barbican Entertainment is a new company, run by experienced film industry professionals, which has ambitions to provide the market with a wealth of original, first class entertainment and to expand into a leading independent film and televisual content supplier.

Reg Traviss

Reg has worked in the film and production industry for over twenty years. He began as a professional director making idents and promos for broadcast, freelancing under commission by the BBC, ITV and various production companies. Then in 2003 he moved into the area of independent feature film, going on to work with companies such as Handmade Films International, Dreamtool Entertainment and Lionsgate. To date he has directed four theatrical feature films released worldwide, he has written and produced three features, and has exec-developed two miniseries in collaboration with a major UK broadcaster and a major US streaming platform respectively.

Katrena Rochell

Katrena’s career in entertainment spans over a decade, beginning with acting roles in the US and Europe, including appearances in notable productions like Kick-Ass (2010) and The Last Days of Lehman Brothers (2009). Transitioning behind the camera, she executive-produced several feature films before dedicating herself fully to producing. She then produced her first feature film, building a diverse portfolio that includes numerous music videos for artists like Ricky Martin, advertising promos for brands such as Bentley Motors and Jack Daniel’s, and a range of international documentaries.
